Sequor Law Is Honored to Support Associação João de Barro in Its Completion of a New School Open Firm News Open October 12, 2021 2 minutes read Sequor Law We applaud Associação João de Barro for completing construction and officially opening its doors to students this month. What began as a vision is now a fully realized space dedicated to learning, growth, and opportunity. Seeing the children step into their new classroom for the first time is a powerful reminder of why projects like this matter. A safe, welcoming environment is not a luxury. It is a foundation for confidence, focus, and long term success. The new facility provides students with the structure and stability they need to thrive academically and socially. Classrooms designed for learning create space for curiosity, collaboration, and skill development. For many children, access to a dedicated educational environment can directly influence attendance, performance, and future prospects. According to UNESCO, quality learning spaces are strongly linked to improved student outcomes and higher engagement levels. Infrastructure shapes experience. This milestone reflects the commitment and persistence of everyone involved, from organizers and educators to community supporters. Completing construction is never simple. It requires coordination, funding, and sustained belief in the mission. The result speaks for itself. The doors are open. The students are inside. The work is real. Sequor Law is honored to support this initiative. Investing in education strengthens communities and creates measurable impact that extends far beyond the classroom walls. When children are given the right environment, they gain more than knowledge. They gain possibility. We look forward to seeing the continued growth of Associação João de Barro and the bright futures being built within its walls. • Nyana Miller was second chair for a trial that resulted in a judgment for over $22 million in favor of Sequor’s client| Sequor Law

Sequor Law's trial team, with Nyana Miller as second chair, wins a fraud and civil theft judgment for a client defrauded of 130 million Venezuelan bolivars worth approximately $8.6 million. Nyana Miller was second chair for a trial that resulted in a judgment for over $22 million in favor of Sequor’s client Open Case Results Open September 23, 2020 1 minute read Sequor Law The trial team proved that the defendant had wrongly taken money from Sequor’s client, under the guise of an offset against the debt of an unrelated party. The trial court ruled that the conduct amounted to fraud, civil theft and unjust enrichment. The trial team successfully argued that the defendant had not properly pled that the transaction was illegal and persuaded the judge to calculate the exchange rate as of the date of the loss, rather than the date of trial. The defendant had refused to repay 130 million Venezuelan bolivars to Sequor’s client, which was worth about US $8.6 million at the time. However, by the time the case went to trial, it was worth only US $2.30 because of Venezuela’s hyperinflation. • Pooled BVI liquidations seek US recognition| Sequor Law

Grant Thornton liquidators of three BVI companies linked to an alleged $200M fraud by a former São Paulo mayor file for Chapter 15 recognition in Miami after pooling their proceedings. Pooled BVI liquidations seek US recognition Open In the News Open December 12, 2019 3 minutes read Sequor Law The liquidators of three British Virgin Islands companies tied up in an alleged US$200 million fraud conducted by a former mayor of São Paulo have filed for US recognition, days after a local court authorised the pooling of their liquidations. Grant Thornton director Matthew Richardson , who is joint liquidator alongside partner Kevin Hellard of BVI companies Durant International, Kildare Finance, and MacDoel Investment, filed for recognition of the three companies’ liquidations before the US Bankruptcy Court for the Southern District of Florida on 11 December. Kildare and Durant have been in liquidation in the BVI since November 2017, and MacDoel since April of this year. The BVI High Court ordered the liquidations to be pooled on 5 December after finding the movement of monies between the three of them “would have no practical advantage”, in the first written ruling of its kind in the jurisdiction. Richardson told the Florida court that the three companies had “no legitimate purpose” and were nothing more than vehicles to launder the proceeds of “wide-scale frauds” allegedly committed against the city of São Paulo by their controller, the city’s former mayor Paulo Maluf and members of his family. Maluf, a right-wing populist and member of Brazil’s Progessives party, served as mayor from 1969 to 1971 and 1993 to 1997. He is now under house arrest after being convicted of fraud in 2017 and sentenced to seven years’ imprisonment. It is alleged that during his latter term around US$200 million was misappropriated from public funds through “bribes, secret commissions and other fraudulent payments” in connection with the construction of the city’s Avenida Agua Espraiada, which divides the districts of Itaim Bibi and Campo Belo. The boulevard is now known as Avenida Jornalista Roberto Marinho following a 2003 renaming. Richardson says Brazilian authorities became aware of the fraud in 1999 when they received inquiries from police in Jersey after the submission of a suspicious transaction report to the island territory’s money laundering authorities. The governments of Brazil and São Paulo sought to prove the fraud in the Jersey courts by reference to a month’s sample of transactions flowing through Kildare and Durant. Based on those samples the Royal Court of Jersey found a constructive trust for US$10.5 million against the companies in 2012, and then the following year gave judgment against them for US$28.3 million in favour of the governments. Although the governments recovered US$3.44 million from Kildare and Durant’s Jersey accounts, the companies made no attempt to pay the balance, leading the governments to seek the appointment of liquidators in the BVI. Richardson said MacDoel had also played a role in the fraud as a conduit for funds, identifying just over US$4 million in Kildare’s books that it had paid to the company without consideration or evidence of repayment. The pair obtained MacDoel’s liquidation after it failed to pay a statutory demand for that amount in April. But Richardson said the money from the Jersey judgment “represents only a very small part of the total funds derived from the fraud”, because the judgment reflected only one month’s worth of transactions. He said the total amount of money derived from the frauds was “in the region of US$200 million” and claims against the three estates amount to at least US$172 million. He said he was as yet unable to determine the total value or location of the companies’ assets, but said he had learned they “may be concealed in the United States” and foreign tax havens, under the names of Maluf’s relatives. Richardson said he hopes to make recoveries by asserting proprietary claims in the US and possibly by bringing tracing claims against third parties. • Chilean liquidator in alleged Ponzi case recognised in Australia| Sequor Law

An Australian court recognised CP Legal partner Carlos Parada Abate as liquidator and foreign representative of Alberto Chang Rajii under Australia’s Cross-Border Insolvency Act, building on earlier recognition decisions in Florida, the UK and Isle of Man and Chapter 15 recognition of the Onix proceedings. Chilean liquidator in alleged Ponzi case recognised in Australia Open In the News Open February 13, 2018 3 minutes read Sequor Law By Douglas Thomson An Australian court has become the latest to recognise Chilean liquidation proceedings in what is alleged to be the South American state’s first major Ponzi scheme dismantling, following courts in the US, UK and Isle of Man. JusticeJacqueline Gleeson at the Federal Court of Australia’s New South Wales registry in Sydney recognised CP Legal partner Carlos Parada Abate as liquidator and foreign representative of the estate of Chilean businessman Alberto Chang Rajii, under Australia’s Cross-Border Insolvency Act in a ruling on 29 January. She also recognised proceedings to liquidate Chang’s assets before the 15 th Civil Court of Santiago as a foreign main proceeding under the Australia’s embodiment of the UNCITRAL Model Law. The court followed up with a notice to creditors on 2 February. The recognitions follow a trio of similar decisions by courts in Florida, London and the Isle of Man over the course of September. The US Bankruptcy Court for the Southern District of Florida has also granted Chapter 15 recognition of separate Chilean proceedings liquidating Chang’s investment vehicle Onix, a company he co-founded with his mother in 2009. Chang is accused of using Onix to defraud investors through a set of promissory notes guaranteed by what was in fact another Chang company, Grupo Arcano. The US Securities and Exchange Committee has accused him of manufacturing an identity as an award-winning angel investor, holding himself out as an early Google financier with an MBA from Stanford University, who falsely told investors their money would be put into Silicon Valley companies like Uber and Snapchat. Liquidator Parada has said in court filings that in fact Chang only invested a small part of the funds, using them to fund a lavish lifestyle for himself instead. Onix went into compulsory liquidation in May 2016 after it defaulted on its liabilities to a Chilean creditor, with the Santiago court appointing Parada as its liquidator. The company had over US$120 million in liabilities to over 1,000 creditors at the time of its liquidation. A year later, Chiang’s own estate was placed in compulsory liquidation by the 15 th Civil Court of Santiago and Parada was appointed to oversee this case too. Chang is now facing charges in Chile of fraud, money laundering and operating without a valid licence. He left Chile for Malta the month before Onix’s liquidation and although he was arrested there in December 2016, the Maltese courts have refused Chile’s request for his extradition. Chile has appealed that ruling. In a service ruling in December, the Australian court described Chang’s current whereabouts as unknown, though he did then appear at a hearing relating to his extradition from Malta on 24 January. The court said he would be served through his personal email address and his Chilean legal counsel. Parada was represented in the Australian proceedings by Sydney firm Arnold Bloch Leibler, and the hearings were attended by Sequor Law partner Edward Davis from Miami, his US counsel. Davis says, “We are very happy to have obtained, along with local counsel, additional recognition for Mr Parada in Australia which will allow him to secure real estate, bank accounts and artwork that are believed to be worth more than AU$5 million [US$4 million] in value.” Chang’s alleged personal spending on properties in Australia, the British Virgin Islands, Miami and London has instigated the global round of recognition proceedings for his Chilean liquidation. Chang’s property on the territory’s Moskito Island was partially destroyed last year by Hurricane Irma. The asset is nevertheless among those in the territory being pursued by a companion BVI liquidation with Grant Thornton as liquidator and Parada as its largest creditor, as the BVI does not permit the recognition of foreign liquidators. • Business Law Section to Diversify its Education Program Panels| Sequor Law

Sequor Law's Leyza B. Florin, BLS Chair, announces a new CLE Diversity Policy requiring underrepresented group representation on all Florida Bar Business Law Section panels. Business Law Section to Diversify its Education Program Panels Open In the News Open September 8, 2020 2 minutes read Sequor Law By Jim Ash Underscoring its commitment to diversity, the Business Law Section will soon mandate that its CLE program professional panels include members from underrepresented groups. The new BLS “CLE Diversity Policy,” approved by the executive council on September 4, will apply to all CLE programs sponsored or co-sponsored by the section after January 1, according to BLS Chair Leyza B. Florin . The new policy was developed jointly by members of the section’s Inclusion, Mentoring, and Fellowship Committee and The Florida Bar Diversity and Inclusion Committee, Florin said. “Our Inclusion Mentoring Fellowship Committee did extensive work reviewing similar policies for organizations around the U.S. in developing this policy,” Florin said. Under the policy, individual programs with a “faculty” of three or four-panel participants, including the moderator, would require at least one diverse member, and panels with five to eight members, including the moderator, would require at least two diverse members. Panels with nine or more members, including the moderator, would require three diverse members. “The BLS will not sponsor, co-sponsor, or seek CLE accreditation for any program failing to comply with this policy unless an exception or appeal is granted,” the policy states. The policy will be enforced by the IMF Committee. An exception would be granted if “previously confirmed diverse speakers or moderators withdraw or become unable to attend,” and “insufficient time exists to replace them and maintain a diverse panel.” The only other exemption would apply if, “After a diligent search and inquiry, the proponents of the CLE have affirmed they have been unable to obtain the participation of the requisite diverse members of the CLE panel.” To implement the policy, the IMF Committee has been directed to create a “Diverse Speakers Directory.” According to the policy, the directory will include a database of legal experts that “self-identify from a race, ethnicity, gender and gender identity, sexual orientation, disability and multicultural perspective.” Click here to read the original article . • China’s Defiance Over South China Sea Shows Limits of International Courts| Sequor Law

Forbes quoted Sequor Law’s Tara J. Plochocki on the 2016 South China Sea ruling and why enforcing international arbitration awards against sovereigns is hard. China’s Defiance Over South China Sea Shows Limits of International Courts Open In the News Open July 12, 2016 2 minutes read Sequor Law The Philippines left The Hague in July 2016 with a sweeping win. A tribunal at the Permanent Court of Arbitration found that China had broken international law by building artificial islands to push its territorial claims hundreds of miles into the South China Sea. China's answer was just as blunt. It would not abide by the ruling, it had refused to take part in the proceedings, and it denied that the tribunal held any authority over what it called a territorial dispute. Forbes asked the obvious follow-up: what is a paper victory worth when the losing side refuses to recognize it? Tara J. Plochocki — today a Partner at Sequor Law and head of the Washington D.C. office — was quoted throughout the piece. The absence of China's consent, she noted, had been visible "from 14 years away": Beijing had signed a 2002 framework to resolve these disputes through negotiation, and it never agreed to let a tribunal decide questions of sovereignty. The whole story hinges on consent. Nations routinely agree to international arbitration in commercial matters and must live by the outcome. They are reluctant to agree to such arbitration when a dispute touches sovereignty. As the article notes, the United States has done the same thing China did, brushing off the International Court of Justice in the 1980s over Nicaragua and again in the 2000s in a death-penalty case involving a foreign national. Beijing is not the only sovereign to refuse to honor an unfavorable ruling. For businesses, Plochocki drew a practical line rather than a political one. China, she said, "is not an unreasonable place to do business — you can sign a contract there and have it enforced." Her caveat travels well beyond this case: companies contracting with state-owned enterprises should decide in advance on a dispute-resolution forum those enterprises have actually honored before. A favorable award means little if it lands somewhere the other side can ignore. Her closing observation captured the distance between winning and collecting. The Hague, she said, often serves as the court of international opinion; enforcing its judgments is a separate fight. The full Forbes article is here: "China's Defiance Over South China Sea Shows Limits Of International Courts." That distance is the center of Plochocki's work today. At Sequor Law she concentrates on international arbitration and on enforcing arbitral awards and foreign judgments, including against sovereigns and state-owned enterprises that would rather not pay. The South China Sea ruling is the dramatic version of a problem her clients face in quieter forms every day: a judgment is only as good as your ability to enforce it.
